Thunnus acquires control of Education April for $ 1.3 billion

The Thunnus equity investment vehicle controlled by funds managed by Tarpon, closed deal with Abrilpar to acquire the remainder of the actions that the holding company held on April education. The operation, valued at R $ 1,309 billion, the Thunnus becomes the only educational group controller.
The contract was signed yesterday, Sunday, according to material fact sent Monday morning to the Brazilian Securities Commission (CVM), and provides for the payment of r $ 12.33 per paper — 21.7% award before closing Friday. Will be acquired 54.1 million shares in possession of Abrilpar and Thunnus will stay with 106.2 million papers, or 40.64% of the total.
The transaction represents an additive before the agreement that had been signed in June last year, when the investment vehicle controlled by the Tarpon hit the purchase of 19.9% of the share capital of April education. At the time, one of the clauses provided for additional payment depending on performance targets, these items that were extinct with the new contract. With the consolidation of Thunnus as single controller of the company, there will be a takeover bid (OPA) of the remaining roles on the market at the same price paid to Abrilpar: R $ 12.33 per share. The Thunnus reported that shall submit to CVM analysis the public notice of the offer within 30 days after the closing of the transaction.
If all the shareholders wish to go out of business, the Thunnus total pay $ 3.22 billion.

With the right sales operation, the Board of Directors has elected Eduardo Mufarej, partner of Tarpon, as new President of April education. The administrative structure of the company will be divided between basic education and language schools, with the current Chief Executive, Mario Ghio, acting as Executive Director responsible for basic education, and Marcelo Bruzzi nursing languages for adults.
