Merger between Inbev and SABMiller must be completed by October

SABMiller''s acquisition by AB InBev — $ 103.8 billion that will create the largest company in the world beer market — begins to take a new rhythm. AB Inbev, the biggest brewer in the world, announced on Monday that it expects the merger agreement with SABMiller is completed on 10 October. The schedule of the merger was agreed by the two companies.
The new company will be listed on the Brussels Stock Exchange (Euronext Brussels), Johannesburg Stock Exchange, on Mexico''s stock exchange and on the New York Stock Exchange (Nyse) on 11 October. In the case of the Nyse, will be traded American Depositary Shares (ADS) of Newbelco, a company created by AB Inbev, in March this year in Belgium, to the acquisition of SAT.
Before that, a hearing on the deal is scheduled for August 22 in the Court of Companies in London. This hearing will be determined if the two largest shareholders of the SAT — Altria (American manufacturer of cigarettes) and Bevco (representing the Holy family Sunday and 13.9% of the shares of SABMiller) — should be treated as a class of voters, as well as other shareholders of SABMiller (in this case, all shareholders of SABMiller would vote together on the same date) or as a separate class (and in this case , Altria and Bevco would vote separately).
Assemblies of shareholders of AB InBev and SABMiller will be held on September 28. Shareholders have not yet approved the deal, which was announced on July 29.
