Spal, of Brazil, buy bottler Vonpar by 3.5 billion R$

Mexican Coca-Cola Femsa reported in a statement that its subsidiary brazilian Spal reached an agreement for the acquisition of 100% of the bottler Vonpar, R$ 3.51 billion.
According to Femsa, the operation will elevate in 25% the volume of drinks produced by the company in the country, reaching a market share of 49% of Coca-Cola products.
Founded in 1948, the Vonpar operates in the States of Santa Catarina and Rio Grande do Sul and currently owns four bottling plants and five distribution centers with approximately of 4000 employees, serving consumer 15,400,000.
In the last 12 months, according to the Femsa, Vonpar 190,000,000 unit boxes sold drinks including beer unit boxes 23,000,000. Net sales for the period amounted to 2.03 billion R$. In addition to the products Coca-Cola, Vonpar is also a bottler of Heineken, which Femsa is the second largest shareholder.
Of the total amount, to pay approximately 1.73 R$ Spal billion in cash at the closing of the deal. In addition, the company will pay other R$ 688,000,000 in shares of Femsa to be issued. Finally, the Spal will issue R$ 1.09 billion in promissory notes. The agreement must still be approved by Cade (Administrative Council of economic defense).
